This document describes the General Conditions of Sale to be applied exclusively for sales concluded between

AGREE AND AGREE AS FOLLOWS

ART. 1 Definitions

The following definitions apply in these General Conditions of Sale:

Seller: “Seller” is TM ELECTRONICS
Client: "Client" is any natural or legal person with the qualification of operators
General Conditions of Online Sale: "General Conditions of Online Sale", are the rules governing the sales contract stipulated by the Seller and the Customer through the use of the Site https://www.tecnometal.net
Contract: "Contract" are these General Conditions of Sale
Website or Website: "Website" or "Website" means the website https://www.tmonlinepcb.com belonging to the Seller, in which the Customer can make purchases
Order: "Order" is the invitation to offer sent by the Customer through the use of the Seller's Site referring to one or more products, through the use of the order procedure indicated on the Website https://www.tmonlinepcb.com and in this Agreement.
Product or Products: "Product or Products" are the products described on the Website that can be purchased by the Customer.
Party / Parties: "Party / Parties" is the Customer and / or the Seller.

ART. 2 Object of the Agreement

With these general conditions of sale, TM ELECTRONICS srl. sells and the CUSTOMER remotely purchases the tangible movable goods indicated and offered for sale on the site. The contract is concluded exclusively through the Internet, by accessing the CUSTOMER at the address https://www.tmonlinepcb.com and the creation of a purchase order according to the procedure provided by the site itself.

The Customer undertakes to read these general conditions of sale and the Privacy Policy before confirming his order.

These General Conditions of Sale are available to the user on the website, it will be the CUSTOMER's responsibility to download a copy of these conditions at the time of purchase of the goods.

Before the conclusion of the purchase contract, the CUSTOMER examines the characteristics of the products that are illustrated in the individual product sheets at the time of the CUSTOMER's choice.

Before validating the order with "payment obligation", the CUSTOMER is informed about:

total price of goods including taxes, with details of shipping costs and any other costs;
payment methods;
the deadline within which the Seller undertakes to deliver the goods;
existence of the legal guarantee of conformity for the PRODUCTS purchased;

By placing an order in the various ways provided, the CUSTOMER declares to have read all the information provided to him during the purchase procedure, and to fully accept the general and payment conditions set out below.

Once the online purchase procedure has been completed, the CUSTOMER has the duty to print, save an electronic copy and / or in any case keep these general conditions of sale.

ART. 3 Risks and Responsibilities

The Customer remains solely responsible for the correctness and completeness of his identification data and in any case for any data entered on the Site and / or in the order form, in particular with reference to the ordered product, with the exclusion of any responsibility of Tecnometal , which declines any responsibility for the information, documents and materials that may be entered by third parties on the Site, even if such contents are made available to the Customer as part of an advertising service offered by Tecnometal. The Customer acknowledges that TM ELECTRONICS cannot in any way be held liable to the Customer for the suspension or interruption, regardless of his will, of the operation of the Site.

ART. 3 Methods of Purchase

Customer can only purchase the products in the electronic catalog at the time of placing the order, which can be viewed online at www.tmonlinepcb.com as described in the relevant information sheets. It is understood that the image accompanying the description of a product may not be perfectly representative of its characteristics but differ in color, size, accessory products in the figure. All purchase support information is intended as a simple generic information material, not referable to the real characteristics of a single product.

Correct receipt of the order is confirmed by the Seller by an e-mail reply sent to the e-mail address supplied by the Customer, which will contain the 'Customer Order Number', to be used in any further communication.

The communication sent by the Seller contains all the data entered by the Customer, it is the Customer's responsibility to verify the correctness of the data contained therein and promptly communicate any corrections to be made, in compliance with the methods listed below

In the event that, given the breadth of the catalog and the amount of information contained therein, a sale price other than the actual one is erroneously generated by the site, TM ELECTRONICS will notify the Customer and possibly, if requested by the Customer, to cancel the order.

In case of exhaustion - even temporary - of stocks, TM ELECTRONICS may refuse the purchase request upon communication to the Customer, to whom it can also indicate any replacement products that may be available. Except in the event that the Customer requests to purchase a product to replace the one that is out of stock, TM ELECTRONICS l will refund any sums already paid by the Customer as soon as possible and in any case no later than 14 days from the date on which the order has been canceled.

ART. 3 Methods of Payment

The Customer can pay by credit card, via Paypal. Simultaneously with the order by the Customer, the reference bank will authorize the debit on the Customer's credit card or Paypal account.

ART. 4 Price

All sales prices of the products displayed and indicated on the website are expressed in euros.

The prices of the Products included in the information sheets are expressed in Euros and are net of VAT, unless otherwise indicated.

The prices of the Products indicated in the information sheets do not include shipping costs and those related to the chosen payment method, which are identified and calculated based on the place of delivery and the payment method chosen at the time of the Order, which the Customer views before forwarding the Order. The shipping costs of the Products and the costs relating to the method of payment are entirely borne by the Customer.

The prices of the Products published on the Site may be updated and therefore may undergo variations. The Customer will purchase the Products at the price published on the Site at the time the Order is placed. The CUSTOMER is aware that any charges and costs relating to customs or import duties as well as the procedures necessary for the completion of the customs documentation are the responsibility of the CUSTOMER HIMSELF and are not attributable or under the responsibility of the seller.

For orders below a value threshold determined and made known to the customer before the purchase confirmation, administrative surcharges may be applied

ART. 5 Shipping

The goods will be shipped within the European territory, with shipping costs to be paid by the customer.

At the time of delivery of the goods by the courier, the customer is required to check:

that the number of packages delivered corresponds to what is indicated in the order confirmation e-mail;
that the package is intact, not damaged or in any case altered, even in the sealing materials (adhesive tape or metal straps). Any damage to the packaging and / or to the product must be immediately reported, by putting a WRITTEN CHECK RESERVE on the courier's proof of delivery.
Once the courier's document has been signed without making a reservation, the customer will not be able to oppose any
dispute about le characteristics exterior of the delivered image.
Any problems relating to physical integrity, mismatch or the incompleteness of the products received must be reported to TM ELECTRONICS no later than 5 working days from delivery to the e-mail address d.scaccabarozzi@tmelectronics.eu

ART. 6 Withdrawal and Return

The right of withdrawal is not provided, following confirmation of the order TM ELECTRONICS may request the full amount of the sale.

ART. 7 Guarantees

The customer acknowledges that the guarantee is strictly subject to the correct use of the product as specified in the catalogs and / or manuals made available by the manufacturer and in the settings on the product itself.

In case of defects found on the products, the customer must send an email to: tmgroup@tecnometal.net , describing the precise nature of the defect, and any other useful documentation. This fulfillment must take place under penalty of forfeiture within 8 days from the date of receipt of the products with regard to apparent defects (by way of example and not limited to: condition of the packaging, quantity, number or external characteristics of the products, etc.) or within 8 days from the discovery of the defect in the case of hidden defects not identifiable through a diligent check upon receipt of the goods. The non-conformity report must precisely specify the defective product, the product code, the delivery date and the nature of the defect, and must be accompanied by a copy of the delivery note or the accompanying document. Once the aforementioned deadlines have elapsed, the complaint can no longer be accepted.

The Products object of the complaint must be immediately sent by the customer to TM ELECTRONICS at his own care and expense in order to allow TM ELECTRONICS to ship them, in the event of manufacturing defects or non-conformities, to the manufacturer. The latter, after verifying the existence of the claimed defect, will replace and / or repair it.

In no case does TM ELECTRONICS guarantee that the products supplied are suitable for the specific needs of the customer's business, even in the event that TM ELECTRONICS has provided, at the customer's request, consultancy activities relating to the product itself.

The parties therefore acknowledge that the aforementioned advice is merely indicative and cannot give rise to any liability on the part of TM ELECTRONICS. Except in the case of willful misconduct or gross negligence, any further contractual or extra-contractual liability that may arise in any way, or in relation to the supply of non-conforming or defective products, is expressly excluded, including, by way of example and not limited to, liability for any direct, indirect, or consequential damages, as well as those deriving from the lack of or reduced production.

Under no circumstances can TM ELECTRONICS be held liable for damage caused by improper use of the product, incorrect or poor maintenance, incorrect positioning, tampering or other acts of negligence attributable to the customer.

In any case, TM ELECTRONICS cannot be required to pay compensation for damages exceeding the amount received for the single supply made.

The duration of the guarantee is that provided for by law

ART. 8 Jurisdiction

Any dispute, even of a non-contractual nature or for connection reasons, arising between the Customer and the Seller. relating to the validity, execution, interpretation and termination of the sales contract perfected under these general conditions, will be devolved to the exclusive jurisdiction of the Court of Milan, without prejudice, however, to the Seller's right to initiate actions before the Court of the place of residence of the Customer.

ART. 9 Regulations.

This contract is stipulated in Italian, for everything that is not provided for, the rules of the Italian Civil Code will be applied.

ART. 10 - Personal Data

The Customer declares to have read the information pursuant to art. 13 and 14 of the Regulation (EU) 2016/679 (GDPR) available on the Site and with the acceptance of these general conditions provides consent to the processing of their personal data for the purposes and in the manner indicated in the aforementioned information. The Customer's personal, corporate and fiscal data, acquired directly or indirectly by TM ELECTRONICS s.r.l., will be collected and processed in paper, computer or telematic form, exclusively for the purpose of allowing the execution of purchase orders. The data acquired by TM ELECTRONICS s.r.l. will be kept for a period of time not exceeding that necessary for the purposes for which they were collected and subsequently processed. However, their removal will take place safely.
